Mzazela Finance Corporation is a registered Financial Services Provider (FSP) and is registered with the National Credit Regulator with Registration number NCRCP19930. Having Company Registration Number: 2023/888893/07 and with Address: 158 Malmani Road Sterkfontein Country Estate Krugersdorp 1742. We will use your information to send you confirmation of your deposits and details of any funds invested on your behalf within the Mzazela Finance Corporation ecosystem. Mzazela Finance Corporation shall not rent, sell or otherwise disclose your personal information to any third party without your consent. You may receive invitations to buy goods and services or taxi tickets or other related products, but you may unsubscribe from these invitations at any time. Mzazela Finance Corporation will be sending its customers and subscribers a variety of SMS or WhatsApp messages which include transaction information, savings balance information and sales receipts. Should the recipient block these messages then Mzazela Finance Corporation shall not be liable to re-send these messages. The messages are not marketing material but may be notifications, authentications or information messages that relate to the payments in question.

By visiting our website or Mobile App and/or registering as one of our subscribers, you consent to us collecting, storing, using and (if applicable) transferring your personal information in accordance with this privacy promise. All information you provide to us is stored on our secure servers. Any payment transactions will be encrypted using SSL technology. Where we have given you a password (or you have chosen one), you are responsible for keeping this password confidential. Appropriate security measures are adopted to protect your information from access by unauthorised persons. We strive to do our best to protect your personal data.

Your personal and transaction information will be retained for as long as your account is active. In accordance with Section 23 of FICA, we are legally required to store your records for at least 5 (five) years after the termination of our business relationship. Once this legal period expires, your data will be securely destroyed or de-identified.

We may disclose your personal information in the following circumstances: • To our Suppliers in order to secure a product or service where disclosure is necessary to enable us to process your order and/or provide you with a service. • Where required to do so by law or court order. • Upon the sale of the business • To any person to whom disclosure is necessary to enable us to enforce our rights under this privacy promise or under our Terms and Conditions. • To the Financial Intelligence Centre (FIC) in the event of any activity that we suspect may be linked to money laundering, terrorist financing, or other unlawful activities, and to comply with our duties under the Financial Intelligence Centre Act (FICA). We as a collective do not make any representation or guarantee that the use of the App and Services will yield the results intended by you. We make no warranty that the service will be uninterrupted, timely or secure and/or error free. No advice or information obtained from the Mzazela Finance Corporation Platform, its employees, consultants, representatives and partners, whether oral or written shall be construed as a warranty.

You agree to indemnify and hold harmless Mzazela Finance Corporation, its TPPP, their officers, directors, employees, suppliers, and affiliates, from and against any loss and costs arising out of or relating to any claims that you have used the Services in violation of another party's rights, in violation of any law, in violation of any provisions of this Agreement, or any other claim related to your use of the website or Mobile App.

We reserve the right to modify and adjust the terms and conditions of this Agreement. We will strive to notify you of these changes prior to the effective date of the new terms. Should any provision in the terms and conditions become obsolete, the validity of the remaining provisions will not be affected.

The relationship between the parties is governed in South Africa, any dispute or lawsuit arising out of or in connection with this Agreement will be exclusively dealt with by the laws governing South Africa.

This Website and Mobile App/portal is made available to you by Mzazela Finance Corporation (Pty) Ltd conditional upon your acceptance, without modification of these Terms and Conditions as amended from time to time. These Terms and Conditions, including our Privacy Policy and all other polices that may be posted on the Website set out the terms by which we provide you access to use our Website. Our relevant policies are incorporated into these Terms and Conditions. If you are younger than 18 years of age and your parents have not given their consent to these Terms and Conditions, you must not use or access our Website or Mobile App. Mzazela Finance Corporation (Pty) Ltd provides a digital platform that enables its customers to deposit funds into a Mzazela savings account which is rightfully and legally operated under its FSP license XXXX such account(s) enjoy interest which accrues to the benefit of its investors and clients. The management of deposits which includes funds collections and payments into Mzazela investment account(s). These services are powered by a software application and digital services platform. All member contributions, collections and payments are processed in partnership with Silicon Capital (Pty) Ltd, a TPPP and digital platform provider with Registration Number 2017/458763/07 who provides the receipt of member funds designated for Mzazela member contributions and savings. All funds received as electronic deposits from members are transferred into a Mzazela Savings Account at Nedbank, such funds being held in a designated deposit and interest bearing account at Nedbank. Nedbank Limited “the Bank” Reg No 1951/000009/06 is a licensed financial services provider (FSP9363) and registered credit provider (NCRCP16), herein referred to as (“the bank”) where funds are held on investment on behalf of Mzazela Finance Corporation and are held until such time as the investment matures or the member requests access to their funds. Any reference to “us” shall be deemed to mean Mzazela Finance Corporation (Pty) Ltd or Silicon Capital (Pty) Ltd or the bank as the context indicates. Silicon Capital (Pty) Ltd, is a registered TPPP and is not taking deposits or using the funds that are destined as member contributions or savings contributions. These electronic payments are administered by Mzazela Finance Corporation under its FSP license and paid into the bank deposit account to gain interest on behalf of the members. THIS AGREEMENT: The legal terms outlined in this agreement are between you as the user of the Mzazela App and website, and Mzazela Finance Corporation herein referred to as a registered FSP. By accepting these terms and conditions you agree to such terms and conditions and by downloading the App from the appropriate Android or Apple store and registering on the App or portal, completing the on-boarding process and utilising the Mzazela service you agree to abide by these terms and conditions of service. If you do not agree to the terms and conditions outlined in this agreement you will not be able to completed the registration and on-boarding process to activate and utilise the Mzazela service.

Only persons aged 18 years and older and who are deemed competent to enter into a legally binding agreement are allowed to register for this service. If you are a scholar and under the age of 18 years old your parent or legal guardian can register and operate the service to enable you to access the transport service. By accessing the Mzazela service you are agreeing to be bound by the terms and conditions of this service. You may be required to create an account on the Mzazela platform or portal to use certain features of the service.

You agree not to disclose your confidential access credentials or secure PIN or voucher information to any third-party. You are responsible to maintain the confidentiality of your log-in and account information. Neither Mzazela, nor its payment processor nor the “bank” shall be liable for losses incurred as a result of you, the user, disclosing your confidential account information or Access PIN or voucher PINs to a third-party. As a user of the service it is your responsibility to maintain the confidentiality of your account information including your user name and password that you create when accessing the service and using the features of the service. You agree to notify us immediately if you are made aware of a security breach that deems your wallet or account to be compromised. Such security breaches could include: 1. You lose your mobile phone; 2. You share your user name and password or PIN; 3. You share transaction information such as voucher code and PIN; 4. You share your wallet information with a third-party 5. You are aware that your identity has been compromised i.e. identity theft; 6. You aware that a scammer has compromised your wallet account.

• “Account” – A registered user profile on the Mzazela platform or portal • “Contribution” – Funds deposited by a member into a savings and investment account held at Nedbank and administered by Mzazela Finance Corporation, a register Financial Services Provider (FSP) • “Administrator” – A person authorised by Mzazela to administer funds on behalf of Mzazela investors • “Partner” – A third party integrated into the Mzazela portal for collection of contributions, payments, investments or other services.

• Pay-outs are executed according to the stokvel’s agreed investment cycles, rules, or investment outcome. • Mzazela facilitates pay-outs but does not guarantee timing where third-party partners are involved.

• User data is processed in accordance with applicable data protection laws. • Personal information is used only for legitimate business and compliance purposes. • Detailed data practices are outlined in the Mzazela Privacy Policy.

You may not: • Use the Mzazela platform for unlawful activities. • Engage in fraud, money laundering, or abuse of the platform. • Impersonate another person or entity. • Interfere with the security or operation of Mzazela Finance Corporation Violation may result in immediate suspension or termination.

DSP reserves the right to: • Suspend accounts pending investigation. • Terminate accounts for breach of these Terms. • Restrict access to preserve platform integrity or comply with legal obligations. • Remaining funds, where lawful, will be processed in accordance with banking and payment regulations.

You hereby agree to indemnify and hold Mzazela, the TPPP and the Bank harmless against any claims, losses, or damages arising from: • Your misuse of the Platform. • Breach of these Terms. • Violation of applicable laws.

These Terms are governed by the laws of the Republic of South Africa. Any disputes shall be subject to the jurisdiction of South African courts.

The Service is for your personal use to enable you to make contributions to your savings account using the methods provided for in the Mzazela portal or App.

Mzazela shall store and keep secure your personal information. We shall store only your personal information required to accurately identify you as a user for the purposes or ID verification in order to comply with the requirements of the Financial Intelligence Centre Act (FICA) and Know Your Customer (KYC). Typically we shall store your first name, surname, ID Number or passport number or asylum seeker number, your contact information including mobile number and IP Address and e-mail address, your geographic information using GPS functionality any facial recognition scanning and/or biometric scanning required for security or verification purposes, your transactional history and any other related financial information required to execute a transaction. By accessing this service you agree that Mzazela or its payment processing partner are entitled to verify your personal details by checking your identity with the South African Department of Home Affairs or third-party data bureau for the purposes of verifying that the personal information provided to Mzazela is valid and verifiable. You also agree that if required Mzazela or its processing partner shall be entitled to check against Anti Money Laundering (AML) or Terrorist Financing (TF) databases. In the event that your personal information is flagged as you being a high risk individual we shall have the right to prevent you accessing the service and to terminate your access to the service. We shall only keep your information that is required for us to render the service and we shall not share your information with any third party without your consent. In the event that you notify us in writing to delete your personal information from the Mzazela portal or App we shall endeavour to do so within a reasonable time period provided the regulatory framework makes provision for such. You have the right to request the deletion of your personal information. However, due to legal, regulatory, and financial compliance obligations, certain data related to your transaction history cannot be deleted. This includes transaction records, payment details, and other relevant financial data. You can still request the deletion of non-essential data such as profile information, contact details, and any preferences that are not required for legal or financial purposes. You herein agree, acknowledge and understand that Mzazela and its processing partner operates the program under a bank sponsorship arrangement between the bank and the Third-Party-Payment-Processor (TPPP). You hereby agree to provide us with all information or documentation as may be requested in terms of anti-money laundering, anti-bribery and corruption and counter-terrorist financing legislation applicable to local and international legislation in order for us to render the Mzazela service. If required you hereby consent that we may disclose your information to the bank, the regulator or any third-party who is legally entitled to receive your information in terms of FICA and Anti-Money Laundering (AML) or Terrorist Financing (TF). By using the portal or App you agree that we shall not be held liable for any loss that occurs or arises as a failure to comply with the policies and rules of the IOS App Store or Google Pay Store. You shall not use the portal or App and/or it functions and services to commit any of the following acts: 1. Any act which undermines the Bank, its TPPP or Mzazela service providers or Mzazela merchants; 2. Use a credit card or debit card that is not registered in your name and is used for the purposes of topping up your account to pay for investment contributions. We shall not be liable for any chargebacks or losses or reputational damages when a card that is not registered to the user is used to top-up your account and make contributions to your savings account; 3. The fraudulent use of a stolen, lost, invalid credit or debit card or the credit or debit card of another person without such persons’ or consent; 4. Your use of an invalid bank account to top-up your savings account using normal EFT or instant EFT, whether done via a banking app or a third-party provider such as OZOW or Payfast; 5. An act that Mzazela, the TPPP or the bank or card association, the banking and payments regulator, a merchant or EFT payment service provider believes to be illegal, abusive or unlawful behaviour in violation with bank rules, card program rules or payment network rules; 6. Any act by yourself as a user which is deemed to be in contravention with the rules of the App store where you downloaded your Mzazela App. The App store rules will apply rather than these terms and conditions if there is a difference between such rules and policies. We will not be held liable for any losses that occurs or arise as a failure to comply with the rules and policies of the App Store from which you download the Mzazela App. You agree that the terms and conditions of this agreement shall apply to all updates and future version releases of the Mzazela portal or app which will be released at our discretion from time to time. You agree that the terms of this Agreement shall apply to all updates, upgrades or new releases provided to You whenever and wherever applicable. It is your responsibility to ensure that your mobile device connects to the appropriate App Store provider in order to utilize the latest version available. Neither Mzazela, nor the TPPP nor the bank shall be liable for any security vulnerabilities resulting from you not using the latest available release, upgrades or updates when they are made available via the appropriate App Store.

Transactions that you perform will incur a processing fee. Such fees will be displayed within the portal or via your Mzazela App. These fees may include bank fees, transaction fees, debit order fees, card fees, transfer fees etc. By agreeing to the terms of this agreement you acknowledge that such fees may be deducted from your account balance and revised from time to time.

You are able to load funds into your Mzazela Finance Corporation account using the following methods: • Electronic funds transfer (EFT) from your bank account into the Mzazela account using the correct Nedbank account details and reference number provided to you. • Uploading funds from your debit or credit card – Please note that such funds must have cleared and settled into the Mzazela account and reflect as an available balance on your Mzazela Finance Corporation account before such funds can be credited to the investment account. Such funds may be subject to bank fees, card association fees or third-party processing fees. • By depositing funds into the Mzazela beneficiary account at a Nedbank ATM by selecting Mzazela Finance as a beneficiary and by using the unique deposit reference displayed in the Mzazela Portal or App.

Your account balance can be used to purchase a variety of on-line products which are available on the Mzazela App. When making a purchase you will be prompted to insert your mobile number or the mobile number you wish to send airtime, data or value-added services to. It is your responsibility to use the correct mobile number for the recipient. We will not be liable for any loss or non-delivery of airtime, data, prepaid electricity or product PINS should an incorrect number be used.

Your account balance can be used to purchase goods and services from a participating savings group merchant that participates as a merchant in the Mzazela network.

Once your savings contract matures you will be notified of your accrued funds. Mzazela may then repatriate such funds using one of the following methods. 1. You can cash-out your investment into a bank account that is registered as your bank account. It is your responsibility to ensure that the correct bank account details are stored as your bank account. We shall not be liable for making payments into a bank account when the beneficiary details are deemed to be incorrect. 2. You will be notified when your savings and investment account is ready to be paid out to you. You will be required to provide details of your registered bank account at this time and Mzazela reserve the right to pay out into the account provided by you once it has conducted a bank account verification to ensure you are the rightful owner of this account. Mzazela may charge an appropriate fee for such verification services. Mzazela may also charge a fee whenever it is required to verify your identity for account on-boarding purposes or KYC/AML purposes.

You may elect to opt in to services provided from time to time via the Mzazela portal or App. You may elect to opt-out of services at any time by selecting the Opt-Out prompts within the App.
